Certificate of Incorporation
The life of a corporation begins upon the filing of a certificate of incorporation with the secretary of state's office. By doing so, the corporation becomes a separate and distinct legal entity. The Company’s Certificate of Incorporation includes such other documents as amendments, certificates of designation, and agreements of merger, all of which have the effect of amending or supplementing in some respect the original Certificate of Incorporation.
