Holders of common stock of record at the close of business on March 21, 2003, will be entitled to vote at the meeting or by proxy on the items of business as set forth in the proxy statement dated April 3, 2003.

In addition to the formal business matters, Mark P. Frissora, Tenneco Automotive's chairman and chief executive officer, will review financial results and achievements for the year ended December 31, 2002, and the first quarter of 2003. He will also address the company's strategic priorities for the remainder of 2003.
